Kinetic Ops — Terms of Service

These terms govern your use of the website at https://kinetic-ops.app (the "site"). The site is operated by Yield SPM (Pty) Ltd, registration 2024/185151/07, a South African company ("Yield SPM", "we", "us"). Our place of business is Stellenbosch, Western Cape, South Africa.

KIP ("Kinetic Ops") is a voice-first executive co-pilot app for the car. It is in build. It has not been released. These terms cover this website only.

1. Acceptance

By using the site you accept these terms. If you do not accept them, do not use the site. If you join the waitlist, you also confirm that you have read the Privacy Policy.

2. What this site is (and is not)

The site does two things. It describes KIP, and it takes waitlist sign-ups.

The site is not the app, and it is not an offer of the app. Specifically:

• KIP is in build and not released. There is no app store listing.
• Nothing on the site is an offer to supply the app, or a statement that any capability described here is available today.
• A pilot programme is planned. Participation in it will be under a separate written agreement, not under these terms.
• Nothing on the site is professional advice of any kind.

3. The waitlist

Joining the waitlist creates no obligation on either side.

• We are not obliged to contact you, admit you to any pilot programme, or release anything.
• You are not obliged to take part in anything. You may leave the waitlist at any time by asking us to delete your entry.
• If a pilot programme goes ahead, places are at our discretion.

When you join, we collect: your email address (required), your name (optional), a free-text note (optional), the time you gave consent, and the source/utm strings on the link you used. We use this to contact pilot-programme candidates and for aggregate demand research. The lawful basis is your consent — the checkbox is unticked by default. The data is stored with Cloudflare (D1). The site sets no analytics trackers, and no cookies beyond Cloudflare's essential infrastructure.

To have your entry deleted, email the Information Officer at charl@alteragro.com. The full detail is in the Privacy Policy. If you are unhappy with how we handle your personal information, you may complain to the South African Information Regulator (POPIA).

4. Intellectual property

The KIP and Kinetic Ops names and marks, the site design, and the site content belong to Yield SPM or its licensors. Using the site gives you no licence to any of it. You may view the site and share links to it. Do not copy, scrape, or reuse the marks or content without our written permission.

5. Acceptable use of the site

Use the site lawfully and as intended. Do not:

• probe, disrupt, or overload the site or its hosting;
• submit false information to the waitlist, or another person's details without their permission;
• scrape the site or harvest data from it, whether by hand or by automation;
• use the site to distribute spam or malicious content;
• misrepresent an affiliation with Yield SPM or KIP.

We may block access for abuse.

6. Disclaimers and limitation of liability

The site is provided "as is" and "as available", without warranties of any kind, express or implied, to the extent the law allows. We do not warrant that the site will be uninterrupted, error-free, or secure.

Descriptions of KIP on this site describe a product in build. They are statements of intent, not promises of features, dates, or availability. Anything described may change or be withdrawn.

To the maximum extent permitted by law, Yield SPM is not liable for any loss or damage arising from your use of, or inability to use, the site, including indirect, incidental, or consequential loss. Where liability cannot lawfully be excluded, it is limited to the extent the law allows. Nothing in these terms excludes any liability that cannot lawfully be excluded, including under the Consumer Protection Act where it applies.

7. The app is in build

KIP is in build and not released. Nothing on this site is an offer of the app or of any service, and no capability described here should be read as live.

Safety sits in the design, not the marketing. KIP is being built so that interaction while a vehicle is moving is voice-only, and approvals wait until the vehicle is parked. A Safe-use and recording policy accompanies these terms and will govern how the app may be used.

8. Future terms will govern the app

When the app is released, its use will be governed by its own terms of service, privacy notice, and safe-use and recording policy, presented before use. Pilot participation will be under a separate written agreement. These website terms grant no access to, and no rights in, the app.

9. Governing law

These terms are governed by the law of South Africa. The courts of South Africa have jurisdiction over any dispute arising from them.
